Membership Agreement

Effective Date: September 4, 2025

This Membership Agreement ("Agreement") governs your participation in the Car Hangout community through upgraded membership plans, including Premium and Platinum. By upgrading your account to Premium or Platinum, you acknowledge that you have read, understood, and agreed to the terms of this Agreement, in addition to the Car Hangout Terms of Service and Privacy Policy.

1. General Provisions

• Membership upgrades are optional and provide additional features ("Privileges") within the Car Hangout platform.
• Membership Privileges are revocable licenses, not guaranteed rights. Car Hangout reserves the right to suspend, limit, or terminate any Membership account that violates this Agreement, the Terms of Service, or applicable laws.
• Members are solely responsible for their actions and content posted on the platform.
• All membership fees are non-refundable, including in cases of suspension, termination, or voluntary cancellation.

2. Premium Membership

Premium Membership allows users to:

• Post events.
• Boost and promote their events within the Car Hangout app.

Conditions for Premium Members:

• Posting and boosting events is a privilege, not a right.
• Premium Members must ensure that any events they post comply with all state, local, and federal laws and regulations.
• Car Hangout does not endorse, sponsor, or assume responsibility for events posted by members.
• Premium Members must not use the platform to promote or organize illegal activities, including but not limited to illegal racing, reckless driving, or unsafe gatherings.
• Any violation of these rules may result in suspension or permanent removal of Premium Membership without refund.

3. Platinum Membership

Platinum Membership provides enhanced features, including but not limited to:

• Access to advanced tracking tools for drives, lap times, and circuit data.
• Exclusive access to additional app functions designed for performance monitoring.

Conditions for Platinum Members:

• All features of Platinum Membership must be used responsibly and legally.
• Tracking features are intended for lawful use only, such as organized track events, personal drives, and performance benchmarking.
• Car Hangout does not encourage, condone, or support illegal street racing, reckless driving, or violations of traffic laws.
• Platinum Members assume full responsibility for ensuring their activities comply with state, local, and federal laws.
• Misuse of these features in connection with illegal activity may result in suspension or termination of Platinum Membership without refund.

4. Content Ownership & License

• Members retain ownership of the content they upload (photos, videos, events, etc.).
• By posting, you grant Car Hangout a worldwide, non-exclusive, royalty-free license to display, distribute, and promote your content within the app and related services.
• Car Hangout may remove or restrict any content that violates this Agreement, Terms of Service, or applicable law.

5. Community Standards

• Members must treat other users, vendors, and organizers with respect. Harassment, abuse, hate speech, or discrimination will not be tolerated.
• Members must not use Car Hangout to spam, defraud, or mislead others.
• Violations of community standards may result in suspension or termination of membership without refund.

6. Event Responsibility Disclaimer

• Members who post or host events are solely responsible for obtaining necessary permits, insurance, and ensuring event safety. For more information about event hosting responsibilities, please refer to our Organizer Agreement.
• Car Hangout assumes no liability for accidents, damages, injuries, or disputes that occur at member-organized events.
• By participating in events, users acknowledge that Car Hangout is not responsible for event quality, safety, or legality.

7. Eligibility

• You must be at least 18 years old or the legal driving age in your jurisdiction (whichever is higher) to purchase Premium or Platinum Membership.
• By upgrading, you represent and warrant that you meet these eligibility requirements.

8. Membership Use & Restrictions

• Memberships are personal and non-transferable. You may not share, sell, or transfer your membership account.
• Car Hangout may suspend or terminate accounts suspected of being shared.

9. Renewal & Cancellation

• Memberships may renew automatically on a monthly or annual basis, depending on your selection at checkout.
• You may cancel renewal at any time through your account settings.
• Cancellations take effect at the end of the current billing period. No partial refunds are issued for unused time.

10. Third-Party Services

• Some features rely on third-party services (e.g., Google Maps, payment processors, cloud hosting).
• By using Car Hangout, you agree to comply with applicable third-party terms and acknowledge that Car Hangout is not responsible for failures or limitations of these external services.

11. Limitation of Liability

• To the maximum extent permitted by law, Car Hangout shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or personal injury arising out of or in connection with your membership.
• Car Hangout's total liability for any claim related to membership shall not exceed the amount you paid for your membership in the 12 months prior to the claim.

12. Indemnification

• By upgrading, you agree to indemnify and hold harmless Car Hangout, its affiliates, officers, employees, and partners from any claims, damages, or liabilities arising from your use of Premium or Platinum features.

13. Force Majeure

• Car Hangout shall not be liable for any failure or delay caused by events outside of its reasonable control, including but not limited to natural disasters, internet outages, strikes, government actions, or system failures.

14. Severability

• If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Modification of Terms

• Car Hangout reserves the right to update, modify, or change this Agreement at any time.
• Continued use of Premium or Platinum Membership after changes are made constitutes acceptance of the revised Agreement.

16. Governing Law & Jurisdiction

• This Agreement shall be governed by and construed under the laws of the State of Florida, without regard to conflict of law principles.
• Any disputes arising under this Agreement shall be resolved exclusively in the courts located in Miami-Dade County, Florida.

17. Acknowledgment

By upgrading to Premium or Platinum, you acknowledge and agree that:

• Membership features are privileges, not rights.
• All membership fees are non-refundable.
• You will use all features responsibly and legally.
• Car Hangout is not liable for your actions or the actions of other members.
• You are bound by this Agreement, the Terms of Service, and the Privacy Policy.
