End User License Agreement (EULA)

Effective Date: September 4, 2025

This End User License Agreement ("Agreement") is a legal contract between you ("User" or "you") and Car Hangout, LLC ("Car Hangout," "we," "our," or "us") governing your use of the Car Hangout mobile application, website, and related services (collectively, the "App").

By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree, do not download, install, or use the App.

1. License Grant

• Subject to this Agreement, Car Hangout grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App solely for personal, non-commercial use (unless otherwise permitted, e.g., Vendor Lane or Event Organizer accounts).
• You may not:
• Copy, modify, or distribute the App.
• Reverse engineer, decompile, or attempt to access the App's source code.
• Rent, lease, sell, sublicense, or otherwise exploit the App for unauthorized commercial purposes.

2. Ownership

The App and all related intellectual property rights are owned by Car Hangout and its licensors. This Agreement does not transfer ownership of the App, only the limited license to use it.

3. Eligibility & Age Requirement

You must be at least 16 years old to use the App. By using the App, you represent that you meet this requirement.

4. User Accounts & Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree that you are responsible for all activities that occur under your account.
• Notify Car Hangout immediately if you suspect unauthorized use of your account.

5. User Content

• You may post photos, videos, event details, and other content ("User Content").
• By posting, you grant Car Hangout a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the App.
• You represent and warrant that:
• You own or have the rights to share the content you upload.
• Your content does not infringe the rights of others or violate any laws.
• Car Hangout may remove content at its discretion if it violates this Agreement, our Terms & Conditions, or Community Guidelines.

6. Prohibited Conduct

You agree not to:

• Use the App for unlawful, harmful, or fraudulent purposes.
• Post content that is abusive, obscene, defamatory, harassing, or infringing.
• Upload malicious code, viruses, or attempt to disrupt the App's functionality.
• Circumvent security features or attempt unauthorized access to the App or its servers.

7. Vendors & Organizers

• If you use Vendor Lane or create events as an Organizer, additional agreements (Vendor Agreement, Organizer Agreement) apply.
• Car Hangout is not responsible for the quality, safety, legality, or accuracy of vendor services, products, or event listings.

8. Safety & Driving Disclaimer

• Do not use the App while operating a vehicle.
• Track Mode, lap timers, or performance tools are provided for entertainment purposes only and may be inaccurate or experimental.
• Car Hangout disclaims all liability for accidents, injuries, tickets, or damages resulting from use of the App while driving or racing.

9. No Professional Advice

Any information provided in the App (including vendor listings, performance stats, or user posts) is for general informational and entertainment purposes only and does not constitute professional or expert advice.

10. Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

11. Updates

We may provide updates, patches, or new features. Some updates may be required for continued use of the App. By installing updates, you agree that they are part of this Agreement.

12. App Store Terms

This Agreement is between you and Car Hangout, not Apple Inc. or Google LLC. Apple and Google are not responsible for the App or its content.

• If you downloaded the App from the Apple App Store, you agree that Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it.
• If you downloaded from Google Play, you agree that Google's terms also apply.

13. Export Control Compliance

You may not use or export the App in violation of U.S. export laws or regulations, including restrictions on use in embargoed or sanctioned countries.

14. Termination

• We may suspend or terminate your license if you violate this Agreement or misuse the App.
• You may terminate this Agreement at any time by deleting the App and closing your account.
• Sections on ownership, user content, disclaimers, indemnification, and limitation of liability survive termination.

15. Disclaimers & Limitation of Liability

• The App is provided "as is" and "as available" without warranties of any kind.
• Car Hangout does not guarantee uninterrupted or error-free operation.
• To the fullest extent permitted by law, Car Hangout is not liable for:
• Any damages resulting from your use of the App.
• User-generated content or third-party services.
• Events, vendors, or products offered by others through the App.
• Malfunctions caused by your device, network, or third-party integrations.

16. Indemnification

You agree to indemnify and hold harmless Car Hangout, its affiliates, and partners from any claims, damages, liabilities, or expenses arising from:

• Your use of the App.
• Your User Content.
• Your violation of this Agreement or the rights of others.

17. Force Majeure

Car Hangout will not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, power outages, strikes, cyberattacks, or internet disruptions.

18. Governing Law & Dispute Resolution

• This Agreement is governed by the laws of the State of Florida, United States.
• Any disputes will be resolved through binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association.
• You waive any right to a jury trial or class action.

19. Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will remain in full effect.

20. Survival

The following sections survive termination of this Agreement: Ownership, User Content, Disclaimers & Limitation of Liability, Indemnification, Force Majeure, Governing Law & Dispute Resolution, Severability, and Survival.

21. Entire Agreement

This Agreement, along with our Terms & Conditions and Privacy Policy, constitutes the entire agreement between you and Car Hangout and supersedes any prior understandings or agreements.

22. Changes to this Agreement

We may update this Agreement from time to time. Continued use of the App after changes means you accept the updated terms.
